Representations & Warranties -- Potential Purchasers

By accessing or receiving any information in this White Paper or any part thereof, transferring payment (whether in fiat currency or cryptocurrency) and agreeing to purchase the USDC, each Purchaser agrees, warrants and acknowledges to the Associated Parties as follows:

  1. You have accessed or received this White Paper legitimately in all jurisdictions to which you are subject and that you are not a citizen or resident of any jurisdiction or territory into which a sale or distribution of the USDC would be unlawful (each a “Prohibited Territory”) and are not purchasing the USDC on behalf of, whether directly or indirectly, a citizen of any Prohibited Territory;

  2. You agree and acknowledge that this White Paper does not constitute a prospectus or offer document of any sort and is not intended to constitute an offer of securities of any type or a solicitation for investment in securities of any type;

  3. The Associated Parties do not operate an exchange for USDC and there is no guarantee of the future value of the USDC. The Associated Parties do not take any responsibility for any trading in USDC in or through third-party exchanges;

  4. This White Paper does not constitute or form part of any opinion on, any advice to buy or sell, or any solicitation of any offer to purchase any USDC nor shall it or any part of it nor the fact of its presentation form the basis of, or be relied upon in connection with, any contract or any investment or purchase decision;

  5. No regulatory authority in any jurisdiction has examined or approved of the information set out in this White Paper and the publication, distribution or dissemination of the White Paper to you does not imply that any applicable laws, regulatory requirements or rules have been complied with;

  6. Any agreement as between you and the Associated Parties, including in relation to any purchase, transfer or sale of USDC, is to be in accordance with this White Paper;

  7. You acknowledge and agree that the Associated Parties and their respective affiliates, directors, employees and advisors are not be liable for any indirect, special, incidental, consequential or other losses of any kind, in tort, contract or otherwise (including but not limited to loss of revenue, income or profits, and loss of use or data), arising out of or in connection with any acceptance of or reliance on this White Paper or any part thereof by all Purchasers;

  8. You have a degree of understanding of the operation, functionality, usage, storage, transmission mechanisms and other material characteristics of cryptocurrencies, blockchain-based software systems, cryptocurrency wallets or other related storage mechanisms, blockchain technology and smart contract technology;

  9. You understand and acknowledge the acquisition of USDC does not present an exchange of cryptocurrencies for any form of debt or shares or equity interest in any of the Associated Parties, and holders of any USDC shall not be entitled to any form of dividend or other revenue rights;

  10. Holders of USDC are only entitled to the use of the MAP (if and when developed) and certain other rights within the MAP in accordance with the terms set out herein;

  11. You are able to bear the risks in relation to any decision to purchase USDC and are able to incur a complete loss of your purchased amount without impairing your financial condition and are able to bear the economic risk of not receiving any return for an indefinite period of time, if ever, and the possibility exists that the USDC could be worthless;

  12. You are fully aware that the information contained in this White Paper may not be complete or may be modified from time to time;

  13. You are fully aware and understand that, in the case you wish to purchase any USDC, there are risks associated with the Associated Parties and its businesses and operations;

  14. You are receiving this White Paper for your own account and not with a view to, or in connection with, the resale, distribution or assignment of USDC to the general public;

  15. No information in the White Paper should be considered to be business, legal, financial or tax advice regarding the Associated Parties, the USDC or the MAP launch and you are solely responsible for any tax obligations in relation to any decision to purchase, hold or to stake USDC;

  16. You should consult your own legal, financial, tax or other professional adviser(s) regarding the Associated Parties and its respective businesses and operations, the USDC and the MAP launch;

  17. That you have read, understood and accepted sole responsibility for the disclosed and undisclosed risks, disclaimers and other disclosures inherent in participating in the MAP launch and the purchasing of USDC as set out in this White Paper;

  18. That you have the power to enter into, exercise any rights and perform and comply with the obligations under this White Paper and the entry into, exercise of the rights and/or performance of or compliance with the obligations under this White Paper, including accessing, distribution or dissemination of this White Paper, is not prohibited or restricted by the applicable laws, regulations or rules in your jurisdiction or country of residence, and where any restrictions in relation to the aforementioned are applicable, you:

    a. accept sole liability for non-compliance with such applicable laws, regulations and rules in your jurisdiction or country of residence; and

    b. have observed and complied with all such applicable laws, regulations and rules in your jurisdiction or country of residence at your own and sole expense;

  19. That all actions, conditions and things required to be taken, fulfilled and done:

    a. in order to enable you to lawfully enter into, exercise your rights and perform and comply with your obligations as specified by this White Paper and to ensure that those obligations are legally binding and enforceable; and

    b. for the issue of the USDC on the terms and conditions set out in this White Paper, have been taken, fulfilled and done;

  20. That all your obligations under this White Paper are valid, binding and enforceable on such Purchaser in accordance with the terms;

  21. That you are not exchanging cryptocurrencies for USDC for the purpose of speculative investment or for the purpose of exchanging one form of virtual currency for another, with the present intention of delivering the USDC to another person, in a coordinated series of steps intended to complete a single transaction;

  22. That the Associated Parties may collect information sent by your computer, mobile phone, or other access device. This information may include your IP address, device information including, but not limited to, identifier, name, and type, operating system, mobile network information and standard web log information, such as your browser type, and the pages you accessed on the Associated Parties’ website(s). When you use a location-enabled device with the Associated Parties’ website, the Associated Parties may collect geographical location data or use various means to determine the location, such as sensor data from your device that may, for instance, provide data on nearby cell towers and Wi-Fi access spots. When the Purchaser accesses any websites affiliated with any of the Associated Parties or its applicable third-party service providers on behalf of the Associated Parties may place small data files called cookies on your computer or other device. The Associated Parties may share your personal data with third parties, in order to complete the MAP launch, reveal or suppress fraud, fix technical bugs or eliminate security problems. The Associated Parties will disclose your personal data in so far as is necessary to complete the MAP launch and fulfil the purposes set out above. The processing of your personal information shall otherwise be in accordance with the terms of the Associated Parties’ privacy policies in effect from time to time;

  23. The processing of your personal data will also be carried out to: (a) fulfill the Associated Parties’ obligations under this White Paper and under applicable law (including complying with its AML and KYC policies and procedures); (b) complete your registration; (c) provide technical support; and (d) to assist the Associated Parties in the development of the MAP and the performance of the activities set out in this White Paper;

  24. You may receive commercial electronic messages and advertising materials from Associated Parties or third parties by order of the Associated Parties on the email address and the mobile phone number that you provided to the Associated Parties. At any time, you will be entitled to withdraw its consent to receive such materials by following the instructions provided in such materials;

  25. All agreements, notices, disclosures and other communication that the Associated Parties provide pursuant to this White Paper or in connection with or related to your acquisition of the USDC, may be provided by the Associated Parties, in its sole discretion, to you, in electronic form; and

  26. That all of the above representations and warranties are true, complete, accurate, and non-misleading from the time of your pre-registration (where applicable) and purchase of USDC pursuant to the MAP launch from the time of your first access to or receipt of this White Paper or any part thereof.

In the event of any inconsistency between this White Paper and any other contractual agreements entered into between you, any of the Associated Parties, or any of their affiliates in respect of the issuance or purchase of the USDC or any other products or services relating to the Associated Parties, please note that the terms and conditions of such binding contractual agreements shall prevail.
